PayAudit - Terms & Conditions

1. Acceptance of Terms

By creating an account or using PayAudit's service, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our service.

2. Service Description

PayAudit provides an AI-powered invoice auditing platform that helps mid-market companies (revenue $20M-$200M) identify pricing discrepancies, verify contract compliance, and optimize vendor management. Our service includes:

Document upload and AI-powered data extraction from contracts and invoices
Automated comparison of invoice details against contract terms
Discrepancy detection with severity scoring
Vendor risk scoring and performance analytics
Executive dashboards and exportable reports

3. User Responsibilities

You are responsible for:

Providing accurate and complete information in uploaded documents
Ensuring you have the legal right to share uploaded contracts and invoices
Maintaining the security of your account credentials
Reviewing audit results for accuracy before taking action
Complying with all applicable laws and regulations in your use of the service

Document Accuracy: You acknowledge that PayAudit's AI extracts and analyzes data from documents you upload. The accuracy of audit results depends on the quality and completeness of source documents. Always verify critical findings independently.

4. Data Processing & AI

When you upload documents to PayAudit:

Document content is transmitted to OpenAI's API for text extraction and analysis
Extracted data is stored in your organization's private database
Your documents are NOT used to train or improve any AI models
We use API configurations that minimize data retention by third-party providers
All data is encrypted in transit and at rest

5. Limitation of Liability

Important: PayAudit audit results are advisory in nature. They do not constitute legal advice, financial advice, or certified accounting services. You should independently verify all findings and consult with qualified professionals before making business decisions based on audit results.

PayAudit shall not be liable for:

Decisions made based on audit results without independent verification
Disputes arising from vendor relationships, regardless of audit findings
Indirect, incidental, consequential, or punitive damages
Loss of profits, revenue, or business opportunities
Actions taken by third parties in response to audit findings

The total liability of PayAudit, if any, shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

6. Payment Terms

Pricing: PayAudit is offered at $250/month base subscription plus a 10% fee on recovered overpayments identified through our platform.

Base subscription covers unlimited document processing, AI extractions, and dashboard access
Recovery fees apply only to identified discrepancies where recovery action is taken
Recovery fee is calculated on the net amount recovered (excluding disputed amounts)
All fees are exclusive of applicable taxes

Billing: Fees are billed monthly in advance. Payment is due within 15 days of invoice. Late payments accrue interest at 1.5% per month.

7. Account Termination & Data Rights

Termination by You: You may cancel your subscription at any time. Upon cancellation:

Access continues until the end of the current billing period
You may export your data in CSV format before termination
All account data is permanently deleted within 30 days of termination

Termination by PayAudit: We may suspend or terminate your account for:

Violation of these Terms & Conditions
Non-payment of fees
Abuse of the service or attempted security breaches

Data Deletion: You retain full ownership of your documents and extracted data. You can request complete deletion of all data at any time by contacting support.

8. Intellectual Property

Your Data: You own all documents, contracts, invoices, and data you upload to PayAudit. You retain full ownership and are solely responsible for the content you upload.

PayAudit Platform: The PayAudit platform, including our AI models, algorithms, user interface, and methodology, are proprietary and protected by intellectual property rights. You may not:

Copy, reverse engineer, or disassemble any part of the platform
Use the service to develop competing products or services
Remove or modify any proprietary notices

9. Prohibited Use

You may not use PayAudit to:

Upload documents containing personally identifiable information of individuals without consent
Process documents for organizations you do not represent or lack authorization to act for
Attempt to gain unauthorized access to any systems or data
Use the service for any illegal purpose or in violation of applicable laws
Upload malicious code, viruses, or harmful content
Resell or redistribute the service without authorization

10. Third-Party Services

PayAudit uses third-party services for:

AI Processing: OpenAI API for document extraction and analysis
Hosting: Render and Neon (PostgreSQL) for application hosting and data storage
Authentication: Secure authentication services

We are not responsible for the privacy practices or content of third-party services. We encourage you to review their terms and privacy policies.

11. Dispute Resolution

Governing Law: These Terms & Conditions shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

Disputes: Any disputes arising from these terms shall first be addressed through good-faith negotiation. If resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Arbitration Location: Arbitration shall take place in Wilmington, Delaware.

Notwithstanding the above, PayAudit may seek injunctive relief in any jurisdiction to protect its intellectual property rights or prevent ongoing harm.

12. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. We will provide notice of material changes by:

Posting updated terms on this page with a new "Last Updated" date
Emailing registered users at least 30 days before changes take effect

Your continued use of PayAudit after changes take effect constitutes acceptance of the new terms. If you do not agree to new terms, you may cancel your subscription.
